1.Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and ShapedProxies ("ShapedProxies," "we," "us," or "our"). By accessing or using our website, dashboard, proxy services, or any related product (collectively, the "Service"), you accept these Terms and our Refund Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2.The Service

ShapedProxies provides access to proxy infrastructure, including residential, mobile, and ISP proxies, delivered on a prepaid, pay-as-you-go basis. Proxy resources are sourced in part through upstream providers. We may modify, add, or discontinue features, pools, or products at any time without notice. Performance figures, latency numbers, and availability statistics are estimates and are not guaranteed.

3.Eligibility & Accounts

• You must be at least 18 years old and legally able to enter contracts.
• Accounts are created and authenticated through Discord. You are responsible for maintaining the security of your Discord account and any credentials used to access the Service.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must provide accurate information and may be required to complete identity or compliance verification at our or our upstream providers' discretion.

4.Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations, as well as the acceptable use policies of our upstream providers. You are solely responsible for determining whether your intended use is legal in every jurisdiction that applies to you and to your targets.

5.Prohibited Activities

You may not use the Service, and may not permit anyone using your account to use the Service, for any of the following:

• Any illegal activity, or any activity that violates the laws or regulations of any applicable jurisdiction.
• Fraud, financial crime, money laundering, phishing, identity theft, or carding.
• Unauthorized access to any system, network intrusion, credential stuffing against systems you do not own or have permission to test, or distribution of malware.
• Sending spam, unsolicited bulk messaging, or operating in violation of anti-spam laws.
• Accessing, distributing, or facilitating child sexual abuse material (CSAM) or any content that exploits or endangers minors. This results in immediate termination and reporting to authorities.
• Harassment, stalking, doxxing, threats, or targeting of individuals.
• Denial-of-service attacks, or generating traffic intended to disrupt, degrade, or overload any system or network.
• Infringing intellectual property rights, or circumventing security or access controls in violation of law.
• Any use that violates the terms of service of a third-party platform in a manner that exposes ShapedProxies or its upstream providers to liability.
• Reselling, sublicensing, or redistributing the Service except as expressly authorized in writing by us.

6.User Responsibility & Sub-Users

You assume full legal and operational responsibility for all activity carried out through your account, including activity by any person, customer, or sub-user to whom you provide access. If you provide access to others, you agree to:

• Ensure their use complies with these Terms and all applicable laws and upstream acceptable use policies;
• Promptly investigate and address any report of misuse, abuse, or illegal activity by any sub-user;
• Cooperate fully with any investigation by us or our upstream providers concerning alleged misuse; and
• Maintain the security of all access credentials and prevent unauthorized use.

You acknowledge that responsibility and liability for sub-user activity flows to you, and you accept that responsibility in full.

7.Payment & Billing

• The Service is prepaid. You purchase bandwidth (GB) or static proxy lines in advance, and your balance is drawn down or provisioned upon purchase.
• Payments are processed by third-party payment processors. You agree to their terms in addition to ours.
• All prices are in U.S. dollars unless stated otherwise and are exclusive of any applicable taxes, which are your responsibility.
• You are responsible for all charges incurred under your account.
• Initiating a chargeback or payment dispute without first contacting us to resolve the issue is a breach of these Terms and may result in immediate termination and forfeiture of any remaining balance.

8.No Refunds

All sales are final. ShapedProxies does not offer refunds for any product, including bandwidth, static proxy lines, or any other purchase, whether used or unused. Prepaid balances are non-refundable and non-transferable. By purchasing, you expressly waive any right to a refund to the fullest extent permitted by law. See our Refund Policy for full details.

9.No Warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any specific proxy, IP, location, speed, uptime, or success rate will be available or maintained. Proxy pools are dynamic and subject to change at any time.

10.Limitation of Liability

To the fullest extent permitted by law, ShapedProxies and its owners, operators, affiliates, and agents accept no liability for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Service, regardless of the theory of liability and even if we have been advised of the possibility of such damages.

In all cases, our total aggregate liability to you for any and all claims arising out of or relating to the Service shall not exceed the amount you paid to us in the thirty (30) days immediately preceding the event giving rise to the claim.

11.Indemnification

You agree to indemnify, defend, and hold harmless ShapedProxies and its owners, operators, affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and legal fees (including reasonable attorneys' fees) arising out of or relating to:

• Any activity by you or your sub-users through the Service;
• Your breach of these Terms or any applicable law;
• Your violation of any third party's rights; or
• Any claim brought against us by an upstream provider arising from your use.

12.Cooperation with Authorities

You acknowledge and agree that we may disclose information related to you and your sub-users to law enforcement, governmental bodies, or upstream providers, without prior notice, where we believe in good faith that disclosure is required by law or is necessary in connection with suspected or confirmed unlawful activity. We may also preserve and share such information to protect our rights, safety, and property, and those of our providers and third parties.

13.Suspension & Termination

We reserve the right to suspend, restrict, or terminate your access to the Service at any time, with or without notice and without liability, if:

• You breach these Terms or our Acceptable Use Policy;
• We reasonably suspect unlawful, abusive, or fraudulent activity;
• An upstream provider requires such action; or
• Compliance with applicable law or regulation requires it.

Upon termination for a violation, any remaining prepaid balance may be forfeited and is non-refundable.

14.Changes to Terms

We may update these Terms at any time. Changes take effect when posted to this page with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

15.Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Arizona for the resolution of any dispute arising out of or relating to these Terms or the Service.
